Michael has more than 15 years’ experience practising in Australia and the UK advising a broad range of international, Australian and UK clients, including major corporations, private equity, financial institutions, investment funds and government entities, on a wide spectrum of corporate matters, including mergers and acquisitions, shareholder investments, joint ventures, shareholder arrangements, infrastructure, energy transition and renewables projects and transactions, privatisations and company law and corporate governance matters.

Michael has extensive experience and expertise advising on significant and complex mergers and acquisitions, in both cross-border and domestic contexts, across a variety of industry sectors, including financial services, infrastructure, energy and renewables, retail and hospitality, manufacturing and distribution, telecommunications and pharmaceuticals and healthcare. In particular, Michael has advised a number of investment funds and private equity firms on acquisitions of and investments into Australian assets, companies and businesses.

Notable Transactions

  • Morrison & Co – acquisition of a 50% interest in Pact Group’s crate pooling business and associated joint venture and strategic partnership arrangements for the business
  • Woolworths – merger of its Endeavour Drinks business and ALH Group to form the Endeavour Group integrated drinks and hospitality business and the subsequent demerger and listing of Endeavour Group
  • Bain Capital and Deutsche Bank consortium – acquisition of GE’s Australian and New Zealand commercial finance lending business and its associated financing transactions
  • KKR, Värde Partners and Deutsche Bank consortium – acquisition of GE’s Australian and New Zealand consumer finance business (now known as Latitude Financial Services) and subsequent IPO
  • RES – on its investment into and joint venture arrangements for offshore wind projects
  • Ingka Group – on its investment into and joint venture arrangements for the Golden Plains onshore wind farm
  • EDF Australia – on its funding, investment and strategic partnership arrangements with Vast Renewables Limited to develop Australian concentrated solar power projects

  • NSW Government – on its energy reform arrangements, including its sale of energy generation assets of Macquarie Generation and Delta Electricity
