Louisa advises on a range of corporate law matters including mergers and acquisitions, public market equity capital fundraising, private market venture capital and private equity investments and corporate governance.  Louisa’s clients include start-up and early-stage growth companies, family businesses, SMEs and ASX-listed corporations.  Louisa also regularly advises investment funds and companies with capital needs in the venture capital and private equity investment market.

Louisa has recent experience advising clients on:

• public and private merger and acquisition transactions, including competitive sales processes, cross boarder transactions, founder exists, schemes of arrangement and off-market takeovers; 
• private equity and venture capital investment transactions, acting for both investment funds and issuer companies on seed and later stage equity investments and venture debt;
• public equity capital market fundraising, acting for both issuers and underwriters and lead managers on initial public offerings, share placements, entitlement issues and share purchase plans; 
• ASX Listing Rules and Corporations Act compliance and governance matters, including continuous disclosure obligations, shareholder meetings, directors’ duties and general corporate governance;
• employee incentive arrangements, including share and option plans and loan share funded arrangements;
• initial entity structuring and pre-sale/exit business preparation and structuring; and
• various corporate and commercial matters, including contracting arrangements, intellectual property, PPSA and licensing.

Louisa has experience working with clients across a variety of industry sectors including telecommunications and IT, technology, e-commerce, health, labour hire and recruitment, food manufacturing and distribution, childcare and education, retail and mining services.
